Venu Holding "announced that it has terminated its proposed public offering of $75,000,000 of shares of its common stock, par value $0.001, previously announced on January 27, 2026. As a result of such termination, no shares of the Common Stock of the Company are being sold pursuant to the offering. The termination results from an assessment by the Company's management that current market conditions are not conducive for an offering on terms that would be in the best interests of the Company's shareholders."

Venu Holding Corporation announced that it has commenced a registered underwritten public offering of its common stock. The company intends to offer, subject to market conditions and other facts, $75M of shares of its common stock pursuant to a registration statement on Form S-3 filed with the SEC. The company intends to use the net proceeds from the offering to fund a portion of the development costs of The Sunset McKinney, The Sunset Broken Arrow, and The Sunset El Paso, to complete the closing of the company's purchase of real property in Centennial, Colorado, to develop an indoor music hall and restaurant on such property, and for working capital and other general corporate purposes. Deutsche Bank Securities and ThinkEquity are acting as joint book-running managers for the proposed offering.

Venu Holding announced Vic Sutter, executive VP of operations, has been appointed COO and will lead operational alignment across Venu's expanding portfolio. In conjunction with this appointment, the company's president, Will Hodgson, will shift from serving as both president and COO to serving solely as president of Venu.
