Tevogen announced that it has entered into a signed, non-exclusive, non-binding Letter of Intent to evaluate a potential transaction with a distinguished global contract research organization. If consummated, the proposed transaction could expand Tevogen's clinical development capabilities and could support the company's evolution into a revenue-generating healthcare enterprise, it said. Dr. Ryan Saadi, Founder and Chief Executive Officer of Tevogen, stated, "The potential acquisition of a CRO could introduce revenue-generating service capabilities while allowing us to optimize trial execution internally. We believe this combination of operational control and service revenue may strengthen earnings visibility, support a more capital-efficient growth model, and enhance patient affordability." The proposed transaction remains subject to, among other things, completion of due diligence, negotiation and execution of definitive documentation, required approvals, and satisfaction of customary closing conditions. Tevogen is also actively considering other transactions with a focus on life sciences-related businesses; however, there can be no assurance that any such transaction will be consummated.

Tevogen has entered into a signed, non-exclusive, non-binding Letter of Intent to evaluate a potential transaction with Sciometrix, a privately held healthcare technology and value-based care solutions provider headquartered in Michigan and developer of the Clinicus digital care management platform, that would, if consummated, result in Tevogen holding a majority voting interest in Sciometrix. The company said, "The potential transaction is being explored to augment Tevogen's existing capabilities and would result in Tevogen becoming a revenue-generating healthcare enterprise. Tevogen is evaluating the integration of Sciometrix's digital care management capabilities, including its Clinicus platform, and remote patient monitoring technologies, with the Tevogen.AI initiative. Tevogen believes the acquisition may: Accelerate Tevogen's commercialization readiness by integrating clinical development with real-world patient engagement and outcomes tracking. Enhance Tevogen.AI and Tevogen's data capabilities through Clinicus' predictive analytics and care optimization platform. Support value-based models for advanced immunotherapies by aligning treatment delivery with longitudinal patient monitoring and payer reporting requirements. Create a differentiated biotech-plus-services model designed to reduce friction between innovation, reimbursement, and patient access. Optimize clinical trials and related operational efficiency." Tevogen announced that its board of directors has expressed its intention to evaluate the potential declaration of a one-time special cash dividend to shareholders, contingent upon the achievement of specified financial milestones to be determined at a future date, which could include revenue and earnings targets. "Any consideration of a special dividend would be subject to the Company's future financial performance, capital requirements, compliance with applicable solvency laws, including under the Delaware General Corporation Law, and final approval by the Board of Directors after a determination that a dividend would be the best use of Company capital at the time. No assurance can be given that a dividend will be declared, nor as to the timing or amount of any such dividend. Further updates will be provided as appropriate and in accordance with applicable disclosure requirements," the company stated.

Tevogen reported significant scientific and operational milestones achieved in 2025 within its biotechnology operations, reflecting Tevogen's continued execution toward a scalable, established, multi-program cell therapy development organization. In 2025, Tevogen advanced its proprietary ExacTcell platform, expanded its cytotoxic T lymphocyte pipeline across multiple viral and oncology indications, and advanced its strategy to establish in-house GMP cell therapy manufacturing capabilities. Tevogen reported enhancements to ExacTcell that increased laboratory yields of target-specific CTLs per product, supporting improved consistency and throughput. Building on its SARS-CoV-2 proof-of-concept clinical experience, Tevogen completed T cell target identification for five additional HLA restrictions, significantly expanding potential patient coverage for its SARS-CoV-2-specific CTL product. Tevogen also advanced target discovery and preclinical activities supporting CTL therapies addressing: Epstein-Barr virus associated lymphomas; Chronic hepatitis B, including programs focused on prevention of virus-associated hepatic diseases and cancer; Human Papilloma Virus related cancers.
