Ryde Group announced it has received a warning letter from NYSE American regarding the company's compliance with Section 401(a) of the NYSE American company guide. On October 7, NYSE Regulation staff noted a significant increase in Ryde's stock price and an unusually large volume of trading activity in the company's stock. That day, NYSE Regulation staff contacted the company to inquire whether the company was aware of any information that could explain this activity. The company responded to NYSE Regulation's inquiry late on the evening of October 7, indicating that they were not aware of any information that could have given rise to the unusual trading activity. However, on October 9, the company filed a Form 6-K with the SEC, which disclosed a material transaction that had been entered into on October 7 in Singapore. Because this material transaction was entered into on October 6, the exchange's immediate release policy required the transaction to be disclosed before the commencement of trading on the exchange on October 7. As such, the company's failure to make an immediate public disclosure of the execution of the transaction agreement constitutes a violation of Section 401 of the company guide. In accordance with Section 1009 of the company guide, NYSE Regulation is issuing this warning letter in response to that violation.

Ryde Group announced the signing of a Memorandum of Understanding with HelloRide to explore a strategic partnership that connects first-/last-mile cycling with on-demand rides, creating a more seamless, greener, and more affordable urban commute in Singapore.Under the MOU, both companies will pilot reciprocal promotions and product integrations designed to lower door-to-door travel costs and reduce switching friction for users. As part of the collaboration, HelloRide will launch a new 'HelloRyde' pass priced at S$22.90. The pass includes a 30-day unlimited HelloRide pass and S$20 in RydeCoins, which can be redeemed to pay for trips booked through Ryde in Singapore. Additional co-marketing, in-app placements, and product experiments are contemplated in subsequent phases.

Ryde Group is making a strategic move into Singapore's ultra-premium electric vehicle market with the planned launch of RydeLUXE 6, a premium electric vehicle and plug-in hybrid electric vehicle service targeting Singapore's rapidly expanding ultra-luxury transport market. The initiative is being rolled out in partnership with Atoll Discovery, following Ryde's recent acquisition of a 40% stake in the fleet operator. The partnership gives Ryde direct access to Atoll's GAC E9 PHEV fleet - and the high-value corporate clients that come with it. Under the partnership, Atoll will double down its GAC E9 fleet by the end-2025, scaling to 100 units by the end of 2026. All GAC E9 driver-partners will join Ryde's RydeLUXE 6 network, immediately expanding premium service capacity.
