According to estimates, post-transaction, Intercont will take over existing time charter contracts, which are projected to generate cumulative book revenue of approximately $110M and cumulative net profit of approximately $88M during the contract period. Intercont announced that, on December 15, 2025, the Company received a notification letter from the Listing Qualifications Department of the Nasdaq Stock Market, notifying the Company that it is currently not in compliance with the minimum bid price requirement set forth under Nasdaq Listing Rule 5550(a)(2). The Notification Letter is based upon the fact that the closing bid price of the Company's ordinary shares was below $1.00 per share for a period of 30 consecutive business days from October 31, 2025 to December 12, 2025. Pursuant to Nasdaq Listing Rule 5810(c)(3)(A), the Company has a compliance period of 180 calendar days, or until June 15, 2026 to regain compliance with Nasdaq's minimum bid price requirement.

Starks Network, incorporated in the Cayman Islands with operational headquarters in Singapore, has established strong competitive advantages in the global Web3 ecosystem with Project zCloak Network. The company's proprietary frameworks and compliance-forward infrastructure span AI identity, enterprise self-custodial wallets, stablecoin payment systems, and AI-powered crypto payment technologies. These differentiated capabilities create substantial barriers to entry and have earned zCloak grant by official Hong Kong Cyberport incubation programs, as well as investments from top-tier venture capital firms including Coinbase Ventures. zCloak is widely regarded as a high-growth technology leader with robust investor support.

Intercont's Openwindow, has entered into a strategic partnership with CINCO INTERNATIONAL HONGKONG LIMITED. The partnership is designed to deliver stable, multi-year cash flow while expanding NCT's shipping segment with assets that meet the industry's accelerating shift toward low-carbon operations. Upon completion of the transaction, the company is expected to take over existing time charters. Based on the daily rates and charter periods stipulated in the agreement, the cumulative contract revenue is projected to reach approximately $118.25 million, with a cumulative net profit estimated at $88.96 million. The transaction remains subject to customary conditions, including satisfactory due diligence and the execution of a formal Ship Purchase Agreement.
