Visionary Holdings, announced that its wholly owned subsidiary, Visionary Health Technology Group, announced the signing of a $12M exclusive distribution agreement for its flagship anti-aging product, Premier Regenerative Complex---President Super Injection, in cooperation with Huajin China Investment Company, alongside the Board-approved divestiture of its non-core education business.

On February 27, 2026, the Company's Board of Directors approved the transfer of 100% equity interests in Visionary Education Services & Management Inc., completing the planned exit from non-core legacy operations. With this divestiture, Visionary Holdings will operate as a streamlined biotechnology and healthcare-focused enterprise, allocating capital, technology and management resources exclusively toward: Anti-aging injectable products; Regenerative medical aesthetics; Biotechnology-driven healthcare innovation. The product is intended for aesthetic and wellness applications and is not intended to diagnose, treat, cure, or prevent any disease.

Visionary Holdings' Visionary Health Technology continued execution progress under its previously signed commercial sales agreement with a total contract value of approximately $9M. The agreement, signed in September 2025, is currently in the implementation stage, with service activities underway. GV Hong Kong is working closely with its business partner to advance phased implementation efforts under the terms of the agreement. Since the signing of the agreement, both parties have continued to advance contractual milestones. Early-stage service activities remain in progress. Based on the current delivery schedule and client coordination progress, the Company expects the agreement to achieve further substantive execution milestones by the end of the first quarter of 2026. Any related revenue recognition and cash collection will be recorded in accordance with the terms of the agreement and applicable accounting standards.

Visionary Holdings announced that its wholly owned subsidiary, Visionary Health Technology Group Limited, has established three new regional wholly owned subsidiaries in Qingdao, Wuxi and Wuhu, China. These subsidiaries are primarily dedicated to localized market expansion, institutional partnerships, and frontline sales execution for GV's regenerative medicine, cellular rejuvenation, and aesthetic treatment product portfolio.
