Garden Stage announced that it received a delinquency notification letter from the Listing Qualifications Department of The Nasdaq Stock Market on September 5, 2025 indicating that the Company is not currently in compliance with the minimum bid price requirement set forth in Nasdaq's Listing Rules for continued listing on the Nasdaq Capital Market, as the closing bid price for the Company's ordinary shares listed on the Nasdaq Capital Market was below $1.00 per share for 30 consecutive business days. Nasdaq Listing Rule 5550(a)(2) requires listed securities to maintain a minimum bid price of $1.00 per share, and Nasdaq Listing Rule 5810(c)(3)(A) provides that a failure to meet the minimum bid price requirement exists if the deficiency continues for a period of 30 consecutive business days. The Notice provides that the Company has a period of 180 calendar days from the date of the Notice, or until March 4, 2026, to regain compliance with the minimum bid price requirement.

Garden Stage Limited announced that it has entered into a definitive agreement with several investors for the purchase and sale of an aggregate of 38.41M of the company's ordinary share at a purchase price of 11c per share in a registered direct offering. The aggregate gross proceeds to the company of this offering are expected to be approximately $4.2M. The transaction is expected to close on or about July 25, subject to the satisfaction of customary closing conditions. Univest Securities is acting as the sole placement agent.
