Autozi Internet files to sell 34.97M Class A ordinary shares for holders

Autozi Internet Technology announced the completion of negotiations for an acquisition of approximately $1.87B in premium digital assets from a crypto-asset institution for a total consideration of approximately $1.1B. The company said, "To accelerate the development of its global specialized vehicle and aftermarket parts sales network via its cross-border supply chain platform, AZI recognizes the imperative to solve the critical challenge of online cross-border payments-a challenge for which cryptocurrency presents a pivotal solution. Concurrently, AZI's U.S. subsidiary has reached an agreement in principle to cooperate with this Crypto Titan. The two parties will engage in deep collaboration focused on DAT development, the construction of compliant crypto-payment infrastructure, and the expansion of multi-scenario payment ecosystems. They are committed to jointly forging and leading the vast global market for cryptocurrency-based DAT treasury and crypto payments."

Autozi Internet has further deepened its cooperation with Velocar, advancing an M&A-oriented collaboration focused on European cross-border automotive supply chain operations. As part of this strengthened cooperation, the parties have set a shared objective to achieve approximately $500M in revenue within the next three years. The parties formally established a business partnership around three months ago and commenced cooperation in areas including cross-border vehicle supply, channel coordination, and localized services. The parties recently aligned on the overall approach to the proposed M&A cooperation and entered into a memorandum of understanding as a transitional arrangement to facilitate the next phase of collaboration. The proposed cooperation aims to combine Velocar Ltd.'s strengths in vehicle circulation, distribution networks, and end-market services in Europe with Autozi's capabilities in digital supply chain platforms, industry resource integration, and capital operations.

Autozi Internet Technology announced that it has formally received $10M in share subscription proceeds from its controlling shareholder. Going forward, the company intends to issue shares to the controlling shareholder at an appropriate time at a price representing a 30% premium to the market price. The company stated that the subscription proceeds have been fully received. Subsequent matters, including the issuance and registration of the shares, will be implemented in phases in accordance with the established arrangements, following the completion of the necessary corporate governance procedures and applicable disclosure requirements.
